Terms of Service

1. Acceptance of Terms

By accessing or using the Edpace platform (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you are accepting on behalf of a school or organisation, you represent that you have the authority to bind that entity to these Terms. If you do not agree, do not use the Service.

2. Description of Service

Edpace is a multi-tenant learning management system designed for Ontario inspected private schools delivering Ontario Secondary School Diploma (OSSD) credits. The Service includes gradebook management, report card generation, transcript tracking, course delivery tools, and related administrative features.

3. Accounts & Access

Access to the Service is provisioned by a school administrator. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify your school administrator immediately of any unauthorised use.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law.
• Attempt to gain unauthorised access to any part of the Service or its systems.
• Interfere with or disrupt the integrity or performance of the Service or the data contained therein.
• Upload content that is defamatory, obscene, or infringes on the intellectual property rights of others.
• Share login credentials or allow access to individuals not authorised by your school.

5. Data Ownership

Schools retain full ownership of all student data, academic records, and content uploaded to the Service. Edpace acts as a data processor on behalf of the school. We do not claim any intellectual property rights over your data. Upon termination, schools may request a complete export of their data in standard formats.

6. Privacy & Data Protection

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. All student data is stored exclusively in Canadian data centres in compliance with PIPEDA.

7. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. Scheduled maintenance windows will be communicated in advance. We are not liable for any downtime resulting from factors outside our reasonable control, including internet outages, third-party service failures, or force majeure events.

8. Fees & Payment

Subscription fees are outlined in the pricing agreement between Edpace and the school. Fees are billed in Canadian dollars. Failure to pay may result in suspension of access to the Service. We reserve the right to modify pricing with at least sixty (60) days’ written notice before the next billing cycle.

9. Termination

Either party may terminate the agreement with thirty (30) days’ written notice. Upon termination, the school may request a data export within sixty (60) days. After this period, all school data will be securely deleted from our systems in accordance with our data retention policy.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Edpace shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total aggregate liability shall not exceed the fees paid by the school in the twelve (12) months preceding the claim.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated to schools via email at least thirty (30) days before they take effect. Continued use of the Service after changes constitutes acceptance of the revised Terms.
